Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and Ignixn LLC, a Virginia limited liability company (“Ignixn,” “we,” “us,” or “our”). They govern your access to and use of the Ignixn platform, websites, and related services (collectively, the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Ignixn is a software platform that automatically generates, hosts, and updates search-optimized websites for local service businesses using information you provide and data sourced from third parties such as your Google Business Profile. The Service, its features, and its content are provided on an ongoing basis and may change over time.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, Billing, and Cancellation

Paid plans are billed on a recurring basis (monthly unless stated otherwise) through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on each renewal until you cancel. Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. You may cancel at any time through your account billing settings or the Stripe customer portal; cancellation takes effect at the end of the current billing period.

Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused time, or downgrades. We may change prices on a prospective basis with reasonable notice; continued use after a price change constitutes acceptance.

4. Your Content and Responsibilities

You retain ownership of the business information, text, images, logos, and other materials you provide or that we source on your behalf (“Customer Content”). You grant Ignixn a worldwide, non-exclusive license to host, reproduce, modify (for formatting and generation), and publish Customer Content solely to operate the Service and deliver your website.

You are solely responsible for your website and its content, including its accuracy, legality, and compliance with applicable laws and the policies of any third-party platform (such as Google). You represent that you have the rights to all Customer Content and that it does not infringe any third party’s rights or violate any law.

5. AI-Generated Content

The Service uses artificial intelligence to expand, draft, and assemble website content. AI-generated content may contain errors, omissions, or inaccuracies and is provided as a starting point. You are responsible for reviewing all generated content before and after it is published, and for ensuring it is accurate, appropriate, and lawful for your business.

6. Legal Pages Are Templates, Not Legal Advice

The Service can generate pages such as a privacy policy and terms of service for your website. Ignixn is not a law firm and does not provide legal advice. Any legal, policy, or compliance text the Service generates is a generic template provided for convenience and on an “as is” basis. It may not be accurate, complete, or suitable for your business, industry, or jurisdiction. You should have any such text reviewed by a qualified attorney before relying on it. Ignixn disclaims all responsibility and liability for your use of generated legal or policy content.

7. Acceptable Use

You agree not to use the Service to:

  • violate any law or the rights of others;
  • publish content that is unlawful, deceptive, infringing, defamatory, or harmful;
  • misrepresent your business, services, reviews, or affiliation, or engage in spam or deceptive SEO practices;
  • interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Service or its infrastructure; or
  • resell or provide the Service to third parties except under a written agreement with us.

We may suspend or terminate accounts that violate these Terms.

8. Third-Party Services

The Service integrates with third-party services, including Google Business Profile and other Google APIs, Stripe, hosting and AI providers, and others. Your use of those services is subject to their respective terms, and we are not responsible for their availability, accuracy, or actions. Access to third-party data may change or be revoked by the provider at any time.

9. Intellectual Property

The Service, including its software, templates, design system, and underlying technology, is owned by Ignixn and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Except for Customer Content, no rights are transferred to you.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Ignixn disclaims all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any website will achieve any particular search ranking, traffic, lead volume, or business result, or that AI-generated or third-party-sourced content will be accurate or complete.

11. Limitation of Liability

To the maximum extent permitted by law, Ignixn and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to Ignixn in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Ignixn from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your website, your use of the Service, or your violation of these Terms or any law or third-party right.

13. Term and Termination

These Terms apply while you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if we discontinue the Service. Upon termination, your right to use the Service ends and we may delete your account and hosted website after a reasonable period. Sections that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or through the Service). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Virginia, and you consent to their jurisdiction.
